IMPORTANT LEGAL AGREEMENT: These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Speshelly Ltd., a Hong Kong Limited Liability Company (Company Number: 79247370) ("Protejo," "Company," "we," "us," or "our") governing your access to and use of Protejo's child safety monitoring services, including all websites, mobile applications, and related services (collectively, the "Services").
BY ACCESSING, REGISTERING FOR, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

ACCEPTANCE OF AGREEMENT

These Terms constitute the entire agreement between you and Protejo regarding the Services and supersede all prior agreements, communications, and proposals, whether oral or written, between you and Protejo. By creating an account, accessing the Services, or clicking any acceptance button, you:
• Confirm that you are at least 18 years of age or the age of majority in your jurisdiction
• Represent that you have the legal authority to enter into this agreement
• Agree to comply with all applicable local, state, national, and international laws
• Acknowledge that you have reviewed our Privacy Policy incorporated herein by reference
• Consent to electronic communications and agreements
Electronic Signature and Records
You agree that your electronic acceptance of these Terms constitutes your signature and that electronic records of this agreement will be valid and enforceable. You waive any rights to require original (non-electronic) signatures or to require that records be maintained in non-electronic form.

Protejo is an AI-powered child safety platform that monitors and analyzes digital communications to identify potential threats to child safety, including cyberbullying, online predators, harmful content, self-harm indicators, and other digital safety concerns.
Protejo Family
Consumer service for parents and legal guardians to monitor their children's digital communications across messaging platforms, social media, and other online interactions.

• Multi-platform monitoring capabilities
• Parental dashboard and reporting
• Multi-language support (8+ languages)
Protejo Pro
Professional service for licensed mental health practitioners, therapists, and healthcare providers working with children and adolescents.

• Professional reporting and documentation
• Integration with therapeutic workflows
Protejo Business
Enterprise service for schools, educational institutions, youth organizations, and other entities responsible for child welfare.

ELIGIBILITY AND REQUIREMENTS

Age and Capacity Requirements
• Primary Users: You must be at least 18 years of age or the age of majority in your jurisdiction
• Legal Capacity: You must have the legal capacity to enter into binding contracts
• Parental/Guardian Status: For family services, you must be a parent, legal guardian, or have lawful authority over the children being monitored
• Professional Licensing: For professional services, you must hold valid professional licenses as required by your jurisdiction
Geographic Availability
Services are currently available in jurisdictions where legally permitted. We reserve the right to limit service availability based on:
• Local laws and regulations
• Licensing and compliance requirements
• Technical infrastructure limitations
• Business considerations
Technical Requirements
To use the Services, you must have:
• Compatible devices (smartphones, tablets, or computers)
• Reliable internet connectivity
• Supported operating systems and browsers
• Necessary permissions and administrative access
• Email account for communications and notifications
ACCOUNT REGISTRATION AND MANAGEMENT

Account Creation
To access the Services, you must create an account by providing accurate, current, and complete information including:
• Full name and contact information
• Valid email address
• Secure password meeting our requirements
• Payment information (for paid services)
• Information about children or individuals to be monitored
CRITICAL: Accuracy of Information
You are solely responsible for maintaining accurate account information. False, misleading, or fraudulent information may result in immediate account termination and potential legal consequences. You must immediately update any changes to your contact information, payment details, or monitored individuals.
Account Security
You are responsible for:
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access at support@protejo.net
• Using strong, unique passwords and enabling available security features
• Restricting access to your account from shared or public devices
Multiple Accounts
You may not create multiple accounts to circumvent restrictions, avoid fees, or violate these Terms. We may terminate duplicate accounts at our discretion.
SUBSCRIPTION AND BILLING

Subscription Plans
We offer various subscription plans with different features, pricing, and billing cycles. Current pricing is available on protejo.net and may vary by:
• Service tier and features included
• Number of monitored individuals
• Billing frequency (monthly, annual, etc.)
• Geographic location and applicable taxes
• Professional or enterprise requirements
Payment Terms
Billing and Payment
• Advance Payment: Subscription fees are charged in advance for each billing period
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the next billing date
• Payment Methods: We accept major credit cards, debit cards, and other payment methods as displayed
• Currency: Prices are displayed and charged in the currency applicable to your location
• Failed Payments: Failed payments may result in service suspension until resolved
Price Changes
We reserve the right to modify subscription prices with at least 30 days' written notice. Price changes will take effect at your next billing cycle unless you cancel your subscription before the change takes effect.
Refunds and Cancellations
• Cancellation: You may cancel your subscription at any time through your account settings
• Service Period: Cancelled subscriptions remain active until the end of the current billing period
• Refunds: Generally no refunds for partial periods, except as required by applicable law
• Free Trials: Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled
• Disputed Charges: Report billing disputes within 60 days of the charge to support@protejo.net
ACCEPTABLE USE POLICY

You may NOT use the Services to:
• Illegal Activities: Engage in any unlawful activities or violate applicable laws
• Unauthorized Monitoring: Monitor individuals without proper legal authority or consent
• Privacy Violations: Violate privacy rights or engage in stalking or harassment
• System Abuse: Attempt to circumvent, disable, or interfere with our security measures
• False Information: Provide false, misleading, or fraudulent information
• Commercial Misuse: Use Services for unauthorized commercial purposes or competition
• Data Exploitation: Extract, scrape, or harvest user data for unauthorized purposes
• Malicious Code: Upload viruses, malware, or other harmful code
• System Overload: Overburden or attempt to disable our servers or networks
• Reverse Engineering: Reverse engineer, decompile, or attempt to derive our source code
Monitoring and Consent Requirements
LEGAL REQUIREMENT: Proper Authorization
You MUST have proper legal authorization to monitor any individual using our Services. This includes:
• Parental Authority: Legal parent or guardian status for children
• Professional Authorization: Valid therapeutic or clinical relationship
• Institutional Authority: Proper educational or organizational authority
• Informed Consent: Appropriate consent from monitored individuals where required by law
Unauthorized monitoring is illegal and may result in criminal prosecution.
USER RESPONSIBILITIES AND OBLIGATIONS

• Legal Compliance: Ensure your use complies with all applicable laws in your jurisdiction
• Proper Authorization: Maintain valid legal authority for all monitoring activities
• Data Security: Protect account credentials and maintain appropriate security measures
• Timely Response: Respond promptly to safety alerts and concerning information
• Information Accuracy: Provide and maintain accurate account and billing information
• System Integrity: Use Services only as intended and avoid disruptive activities
Child Safety Responsibilities
IMPORTANT: Protejo is a tool to assist in child safety monitoring, but you remain solely responsible for:
• Taking appropriate action based on alerts and information provided
• Seeking professional help when warranted
• Contacting emergency services for immediate threats
• Maintaining ongoing communication with children about online safety
• Using the information responsibly and in the child's best interest
Professional User Obligations
Professional users must additionally:
• Maintain valid professional licenses and credentials
• Comply with professional ethical standards and codes of conduct
• Protect client confidentiality and privileged communications
• Use information only for legitimate therapeutic or professional purposes
• Maintain appropriate professional liability insurance
• Report suspected child abuse or neglect as required by law
SERVICE AVAILABILITY AND LIMITATIONS

While we strive to maintain high service availability, we cannot guarantee uninterrupted service. Service may be temporarily unavailable due to:

• Technical difficulties or system failures
• Network connectivity issues

Technical Limitations
IMPORTANT: Service Limitations
Our Services have inherent limitations that users must understand:
• AI Accuracy: Artificial intelligence systems may produce false positives or miss genuine threats
• Platform Dependency: Monitoring depends on third-party platform APIs and policies
• Device Requirements: Requires proper installation and device permissions
• Network Dependency: Requires stable internet connectivity for real-time monitoring
• Language Limitations: AI analysis may be less accurate in certain languages or contexts
Third-Party Platform Changes
Our Services integrate with third-party platforms (social media, messaging apps, etc.) that may:
• Change their APIs, policies, or technical requirements
• Restrict or limit our access to their platforms
• Modify their privacy settings or user controls
• Discontinue services or features we rely upon
Such changes may affect our ability to provide complete monitoring coverage.
INTELLECTUAL PROPERTY RIGHTS

Protejo's Intellectual Property
The Services, including all software, content, trademarks, and intellectual property are owned by Protejo (Speshelly Ltd.) and protected by intellectual property laws. This includes:
• Software applications and source code
• Artificial intelligence algorithms and models
• User interfaces and design elements
• Trademarks, logos, and branding
• Documentation and training materials
• Data analysis methodologies and processes
Limited License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purposes and in accordance with these Terms. This license does not include rights to:
• Copy, modify, or distribute our software or content
• Reverse engineer or attempt to derive source code
• Create derivative works or competing services
• Remove or alter intellectual property notices
• Use our trademarks or branding without permission
User-Generated Content
You retain ownership of content you provide to the Services, but grant us a non-exclusive license to:

We implement enhanced privacy protections for children's information in compliance with COPPA, GDPR Article 8, Hong Kong PDPO, and other applicable children's privacy laws. These protections include:
• Verifiable parental consent for children under 13
• Limited data collection and processing for minors
• Enhanced security measures for child-related information
• Expedited deletion upon parental request
• Restricted data sharing and commercial use
DISCLAIMERS AND WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. To the fullest extent permitted by law, Protejo disclaims all warranties, express or implied, including but not limited to:
• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or completeness of the Services
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the effectiveness of AI analysis or threat detection
Service Accuracy Disclaimer
CRITICAL NOTICE: Our AI-powered monitoring systems are designed to assist in identifying potential safety threats but are not infallible. The Services may:
• Generate false positive alerts for non-threatening content
• Fail to detect genuine threats or dangerous situations
• Misinterpret context, sarcasm, or cultural references
• Experience reduced accuracy in certain languages or dialects
• Be affected by changes in communication patterns or platforms
No Substitute for Professional Judgment
The Services are not a substitute for:
• Professional mental health evaluation or treatment
• Parental supervision and guidance
• Educational or institutional oversight
• Emergency services or immediate intervention
• Legal advice or law enforcement action
LIMITATION OF LIABILITY

LIABILITY LIMITATIONS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Exclusion of Damages
Protejo shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Personal injury or emotional distress
• Damage to reputation or relationships
• Loss of privacy or confidentiality
• Costs of substitute services or products
Cap on Total Liability
Our total aggregate liability for all claims relating to the Services shall not exceed the amount you paid to Protejo in the 12 months preceding the claim, or $100 USD, whichever is greater.
Exceptions to Limitations
These limitations do not apply to:
• Liability that cannot be excluded by applicable law
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Intentional misconduct or gross negligence
• Violations of intellectual property rights
Time Limitation on Claims
Any claim relating to the Services must be brought within one (1) year after the claim arises, or such claim will be permanently barred.
INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Protejo (Speshelly Ltd.), its affiliates, officers, directors, employees, agents, and licensors from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:
• Your Use of Services: Your access to or use of the Services in violation of these Terms
• Unauthorized Monitoring: Monitoring individuals without proper legal authority or consent
• Privacy Violations: Violations of privacy laws or rights through your use of the Services
• Content and Information: Content or information you provide or actions you take based on Service information
• Third-Party Claims: Claims by monitored individuals or other third parties related to your monitoring activities
• Legal Violations: Your violation of applicable laws, regulations, or professional standards
• Professional Liability: Claims arising from your professional services or failure to act on Service information
Indemnification Process
Protejo will promptly notify you of any claim subject to indemnification. You must immediately assume control of the defense and settlement of such claims, provided that you may not settle any claim without our prior written consent.
TERMINATION AND SUSPENSION

Termination by You
You may terminate your account and these Terms at any time by:
• Cancelling your subscription through account settings
• Providing written notice to support@protejo.net
• Following the cancellation procedures specified in the Services
Termination will be effective at the end of your current billing period unless immediate termination is requested.
Termination by Protejo
We may terminate or suspend your account immediately without prior notice for:
• Terms Violations: Breach of any provision of these Terms
• Illegal Activity: Use of Services for unlawful purposes
• Unauthorized Access: Attempting to circumvent security or access restrictions
• Payment Failure: Non-payment of fees after notice and opportunity to cure
• Fraudulent Information: Providing false or misleading information
• Harmful Conduct: Actions that harm other users or our systems
• Legal Requirements: As required by law or legal process
Effects of Termination
Upon termination:
• Your right to access and use the Services immediately ceases
• We will cease active monitoring and alert services
• Your account data will be retained or deleted according to our Privacy Policy
• Outstanding fees remain due and payable
• Provisions that should survive termination will continue to apply
Survival of Terms
The following provisions survive termination: payment obligations, liability limitations, indemnification, intellectual property rights, dispute resolution, and governing law provisions.
DISPUTE RESOLUTION

Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve disputes informally by:
• Contacting our customer support team at support@protejo.net
• Providing detailed information about the nature of the dispute
• Allowing us 30 days to investigate and respond to your concerns
• Engaging in good faith negotiations to reach a mutually acceptable resolution
Binding Arbitration
IMPORTANT ARBITRATION PROVISION: If informal resolution fails, you agree that disputes will be resolved through binding arbitration rather than court proceedings, except as specified below.
Arbitration Rules
• Administrator: American Arbitration Association (AAA) or similar recognized body
• Rules: AAA Consumer Arbitration Rules or equivalent commercial rules
• Location: Your state/country of residence or mutually agreed location
• Language: Proceedings conducted in English unless otherwise agreed
• Costs: Each party bears their own attorney fees unless otherwise awarded
Exceptions to Arbitration
The following disputes are NOT subject to arbitration:
• Claims in small claims court within jurisdictional limits
• Intellectual property infringement claims
• Requests for emergency injunctive relief
• Claims where arbitration is prohibited by law
Class Action Waiver
You agree that disputes must be brought on an individual basis only and waive any right to participate in class actions, consolidated proceedings, or representative actions.
GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with:
• Primary Jurisdiction: Laws of the Hong Kong Special Administrative Region
• U.S. Federal Law: Applicable U.S. federal laws and regulations for U.S.-based users
• International Law: Applicable international treaties and conventions
• Local Law: Applicable local laws in your jurisdiction that cannot be waived
Jurisdiction and Venue
For disputes not subject to arbitration, you consent to the jurisdiction of:
• Courts of the Hong Kong Special Administrative Region
• State and federal courts located in Los Angeles County, California (for U.S.-based disputes)
• Applicable courts in your jurisdiction for consumer protection claims
• Courts with proper jurisdiction for emergency or injunctive relief
International Users
International users acknowledge that:
• Services are operated by Speshelly Ltd., a company incorporated in Hong Kong
• Data may be processed and stored in various countries
• Local laws may provide additional rights that cannot be waived
• Conflicts of law principles do not apply to these Terms
MODIFICATIONS AND UPDATES

We reserve the right to modify these Terms at any time to reflect:

• New service features or capabilities

• Business model changes or operational updates

Notification of Changes

• Email notification to your registered address at least 30 days before changes take effect

• In-app notifications and consent requests
• Updated effective date on the Terms document
Acceptance of Modifications
Continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you disagree with changes, you must discontinue use and may terminate your account.
GENERAL PROVISIONS

Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Protejo (Speshelly Ltd.) regarding the Services and supersede all prior communications and agreements.
Severability
If any provision of these Terms is held to be unenforceable, the remainder of the Terms will continue in full force and effect, and the unenforceable provision will be replaced with a similar enforceable provision.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by our authorized representative.
Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms or any rights hereunder without restriction, including in connection with mergers, acquisitions, or asset sales.
Force Majeure
Neither party will be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, labor disputes, or technical failures.
Independent Contractors
The relationship between you and Protejo is that of independent contractors. These Terms do not create any partnership, joint venture, agency, or employment relationship.
